The Corporate Health, Safety, Environment & Remediation (HSE&R) department is responsible for partnering with corporate's diverse businesses to develop and deploy health, safety and environmental strategies and programs. Management of the HSE function across corporate is based on a company-wide Management System that begins with corporate 's policy and formal Commitment to health, safety and the environment, and is reinforced by specific standards addressing our HS&E risks and requirements that are clearly communicated, regularly audited, and continually improved. Implementation of, and compliance with, the HSE Management System is led by our business and operations leadership and supported by the HS&E function.
• Establish processes to monitor emerging HSE&R legislation and regulations that impact our businesses in China and The Asia-Pacific Region, and convey this information to all appropriate parties.
• Communicate with the Corp. Asia-Pacific Regional HSE Manager and the Corporate HSE staff as one of the Asia-Pacific HSE experts. Provide input on regional implications of HSE strategies.
• Lead or participate in Corporate HSE Audit Teams (approximately 8 - 10 audits per year). The majority of Audits will be focused in China and the surrounding region, but could also be in other global locations.

Purpose

(i) Generally to manage all aspects of the company’s performance; to include, but not limited to, production planning, process control management, quality control management, and the marketing/sales of its products in conjunction with Group’s affiliated companies, in accordance with signed agreements between the company’s investors

(ii)To implement the technical and management recommendations to be transmitted later by Corporate's engineers and managers

(iii)To operate the Company as directed by the Board of Directors and as prescribed by the Companies Law applicable in the P.R. of China

3. Position in organization

Report directly to the Chairman of the Board of Directors and as necessary to the Board of Directors: with the Production Manager, the Administrative and Financial manager, and any other members of management (and staff where appropriate) reporting directly to him.

4. Company scale

The total turnover of the company is expected to be approx. RMB 12 million in 2008, but shall reach 40-50 million in 2009. The production volume of Copper Powders and related products is expected to reach 500-800MT/year in 2009.
The current number of employees is around 25.

5. Accountabilities / responsibilities

(a) Ensure the safe operation of the plant
(b) Ensure that the Board of Directors is kept informed of all relevant matters in the Company, in a manner agreed by the Board
(c) Ensure the activities of the Company are planned forward, in a manner agreed with the Board of Directors
(d) Be responsible for production planning, process control management and quality control management
(e) Ensure that all shipments made against orders confirmed by the company are delivered on time in the agreed quantity and quality
(f) Ensure that the Company’s books and records are accurately kept and that monthly financial/ sales / production and technical reports are timely prepared
(g) Ensure the plant is adequately maintained and propose capital expenditure for this purpose to the Board of Directors as required

6. Activities

(a) When appropriate, to delegate appropriate functions to the Production Manager and Administrative and Financial Manager and any other members of management, and also introduce suitable procedures to supervise the functions delegated. (b) Set a cost oriented budget for all areas of Company activity. Have the budget agreed by the Board of Directors. Follow monthly the actual figures against budget variance and take action when necessary
(c) Ensure product planning is designed as per order booking, and production follows such a planning in an effective way
(d) Ensure raw material purchasing is performed timely and at an effective pricing back to agreed raw material contracted price and to agreed sales powder price
(e) Within production process control management, develop together with production manager production procedures to ensure reproducibility of product quality from batch to batch. Ensure these procedures are followed strictly
(f) Operate a Quality assurance management system, which ensures the delivery of consistent product quality to all customers
(g) Operate a plant-wide safety programme which takes into account the special risks incurred during production of Copper powders and related products
(h) Maintain stock levels at optimized and minimal quantity in respect of delivery commitment and cash flow management
(i) Maintain an accurate set of financial accounts. Maintain all other records which the Company may be required to keep in accordance with the Law in force in the P.R. of China
(j) Produce written monthly reports (Chinese and English version) on the operation and the financial situation of the Company for the Board of Directors
(k) Seek out and propose to the Board activities or schemes which would improve or enhance the profitability of the Company
(l) Operate when required an operator training plan with timely recruiting to ensure skilled manning in all areas of plant activity
(m) Enforce discipline through consistent application of sound management. Maintain individual personnel files as per the Labor Law in the P.R. of China
(n) Operate a cost-effective plant maintenance system which gives due consideration to the special requirements of an atomizing plant as well as the need to deliver on time. Make necessary capital expenditure proposal in this context to the Board

7. Special factors
